Vulcan Materials Company Announces Senior Management Changes in Construction Materials Group

BIRMINGHAM, Ala.--May 17, 2004--Vulcan Materials Company (NYSE: VMC) today announced several changes within the senior management structure of the Company's Construction Materials Group.
On July 1, 2004, Thomas R. Ransdell (61) will retire. Mr. Ransdell joined Vulcan in 1978 and most recently served as president of Vulcan's Southwest Division, which has its headquarters in San Antonio. Tom Hill (45) will succeed Mr. Ransdell. Mr. Hill joined Vulcan in 1979, left the Company in 1990 and returned in 1996. Mr. Hill most recently served as vice president and general manager for the Company's Southwest Division.
Vulcan also announced that James W. Smack (61) has been named senior vice president of Vulcan's Construction Materials Group. In this capacity, Mr. Smack will oversee the work of Group support functions, including marketing, procurement, technical, geological, and operations and engineering services. He will also serve as an advisor to the Construction Materials divisions, and will promote the sharing of best practices among the divisions. Mr. Smack joined Vulcan in 1982 and for the past five years served as president of the Company's Western Division, which has its headquarters in Los Angeles. G. M. (Mac) Badgett III will continue his service to the Company as senior vice president, Construction Materials Group, with responsibilities for the Mideast, Midsouth, Midwest, Southeast, Southern and Gulf Coast, and Southwest Divisions.
Ronald G. McAbee (57) will succeed Mr. Smack as president of Vulcan's Western Division. Mr. McAbee joined Vulcan in 1974 and most recently served as president of Vulcan's Mideast Division, which has its headquarters in Winston-Salem, N.C. D. Gray Kimel, Jr., (54) will succeed Mr. McAbee as president of Vulcan's Mideast Division. Mr. Kimel joined Vulcan in 1972 and most recently served as vice president and general manager for North Carolina in Vulcan's Mideast Division.
Commenting on the changes, Vulcan's chairman and CEO Don James said, "We will miss Tom Ransdell's skills and guidance and we appreciate the many contributions he has made to Vulcan over his 26-year career with us, especially the significant role he played in establishing our operations in Mexico and, in recent years, his leadership in improving the performance of our Southwest Division. We wish Tom the very best in his retirement. The promotions of Jim Smack, Ron McAbee, Tom Hill, and Gray Kimel move these superbly qualified individuals into challenging positions of increased responsibility. I look forward to continuing excellent results from each of them."
